This Payment & Commission Agreement ("Agreement") governs all payment transactions between American National Construction ("ANC") and contractor ("you").
## 1. COMMISSION STRUCTURE
### Tiered Commission Rates
Our commission structure is based on membership tiers and provides increasing value at each level:
**Bronze Tier - 3% Commission**
- Standard lead access
- Basic platform features
- Email support
**Silver Tier - 5% Commission**
- Priority lead access
- Enhanced visibility
- Phone & email support
**Gold Tier - 7% Commission**
- Premium lead access
- Featured status
- Dedicated account manager
**Platinum Tier - 10% Commission**
- Exclusive high-value projects
- Top placement
- White-glove service
### What's Included in Commission
- Lead generation and homeowner vetting
- Platform access and tools
- Payment processing and security
- Escrow services (when applicable)
- Customer support
- Dispute resolution
- Marketing and reputation management
## 2. PAYMENT PROCESS
### Step 1: Project Completion
- Complete work per agreed scope
- Obtain homeowner approval
- Submit completion notice through platform
- Upload final photos and documentation
### Step 2: Homeowner Confirmation
- Homeowner reviews completed work
- Confirms satisfaction through platform
- Releases payment authorization
- Provides project review
### Step 3: Verification
- ANC verifies completion (immediate)
- Confirms homeowner satisfaction
- Reviews documentation
### Step 4: Payment Processing
- Commission deducted automatically
- Payment initiated to builder
- Funds arrive in 3-5 business days (ACH transfer)
- Email confirmation sent
## 3. PAYMENT METHODS
### Direct Deposit (ACH) - Recommended

- 3-5 business days

### Check Payment
- Available upon request
- 7-10 business days
- Mailed to business address
- May incur processing fee
### Wire Transfer
- Available for large amounts ($50,000+)

## 4. PAYMENT TIMELINE
### Standard Timeline
- **Day 0:** Project completion confirmed
- **Day 0:** ANC verification (immediate)
- **Day 0:** Payment initiated
- **Day 3-5:** Funds in your account (ACH)
### Expedited Payment
- Available for Platinum members
- 1-2 business day processing
- Small expedite fee may apply
- Request through account manager
## 5. ESCROW SERVICES
### When Escrow is Used
- Projects over $10,000 (recommended)
- High-value or complex projects
- First-time homeowner relationships
- Upon request by either party
### How Escrow Works
1. Homeowner deposits funds with ANC
2. Funds held securely during project
3. Released upon completion milestones
4. Final release after project completion
5. Commission deducted at final release
### Milestone Payments
- Available for projects over $25,000
- Payments released at agreed milestones
- Typically 3-5 milestones per project
- Commission deducted from final payment
## 6. INVOICING
### Invoice Requirements
- Submit through platform
- Include detailed breakdown
- Attach supporting documentation
- Match original quote
### Invoice Review
- Reviewed within 24 hours
- Approved if matches agreement
- Questions resolved quickly
- Payment initiated upon approval
### Change Orders
- Submit change orders separately
- Require homeowner approval
- Documented through platform
- Included in final payment
## 7. COMMISSION CALCULATION
### Calculation Method
- Calculated as a percentage of the total project value
- Percentage determined by membership tier
- Deducted automatically from payment
- Transparent breakdown provided
### Exceptions
- Commission rates may vary based on project type
- Additional fees may apply for expedited payments
- Discounts may be offered for early payment
## 8. CONFIDENTIALITY
### Protected Information
- Homeowner contact information
- Project details and pricing
- Platform technology and processes
- Business strategies and methods
### Your Obligations
- Keep homeowner information confidential
- Do not solicit homeowners outside platform
- Protect login credentials and account access
- Report any security concerns immediately
## 9. DISPUTE RESOLUTION
### Resolution Process
1. Direct communication between parties
2. Mediation through ANC support team
3. Binding arbitration if necessary
4. Legal action as last resort
### Governing Law
- This agreement governed by Texas law
- Disputes resolved in Dallas County, Texas
- Arbitration conducted per AAA rules
## 10. GENERAL PROVISIONS
### Entire Agreement
- This agreement supersedes all prior agreements
- Modifications must be in writing
- Electronic signatures are valid
### Assignment
- You may not assign this agreement
- ANC may assign to affiliates or successors
### Severability
- Invalid provisions do not affect remainder
- Agreement continues with invalid provisions removed
### No Waiver
- Failure to enforce does not waive rights
- Waiver must be in writing
### Force Majeure
- Not liable for events beyond our control
- Includes natural disasters, war, etc.
- Obligations suspended during force majeure
