This Independent Contractor Agreement ("Agreement") is entered into between American National Construction ("ANC", "Company", "we", "us") and the contractor ("Contractor", "you", "Builder").
## 1. RELATIONSHIP
### Independent Contractor Status
- You are an independent contractor, not an employee of ANC
- You maintain your own business, licenses, and insurance
- You are responsible for your own taxes and business expenses
- ANC does not control how you perform your work
### No Employment Relationship
- No employer-employee relationship is created
- You are not entitled to employee benefits
- You maintain control over your work methods and schedule
- You may work for other companies and clients
## 2. SERVICES PROVIDED
### Platform Access
- Access to ANC's homeowner lead platform
- Project matching based on your specialties and service areas
- Communication tools for homeowner interactions
- Payment processing and escrow services
### Your Responsibilities
- Respond to project inquiries within 24 hours
- Provide accurate quotes and timelines
- Maintain professional communication with homeowners
- Complete projects to agreed specifications
- Follow all applicable building codes and regulations
## 3. COMMISSION STRUCTURE
### Commission Rates
- **3-10% commission** on completed project value
- Commission rate determined by membership tier and project type
- Deducted automatically from final payment
- Transparent breakdown provided for each project
### What's Included
- Lead generation and homeowner vetting
- Platform access and communication tools
- Payment processing and escrow protection
- Ongoing support and dispute resolution
- Marketing and reputation management
## 4. PAYMENT TERMS
### Payment Process
1. Project completion confirmed by homeowner
2. ANC verifies completion (immediate)
3. Commission deducted automatically
4. Payment initiated to your account
5. Funds arrive in 3-5 business days (ACH transfer)
### Payment Methods
- Direct deposit (ACH) - preferred method
- Check (additional processing time)
- Wire transfer (for large amounts)
## 5. QUALITY STANDARDS
### Professional Standards
- Maintain all required licenses and insurance
- Follow industry best practices
- Use quality materials and workmanship
- Provide warranties as agreed with homeowner
- Respond promptly to issues or concerns
### Code Compliance
- Obtain all necessary permits
- Follow local building codes
- Pass all required inspections
- Maintain proper documentation
## 6. INSURANCE & LIABILITY
### Required Coverage
- General liability insurance (minimum $1M)
- Workers' compensation (if applicable)
- Vehicle insurance for business use
- Professional liability (recommended)
### Liability
- You are responsible for your work and employees
- You maintain your own insurance coverage
- ANC is not liable for your work or actions
- You indemnify ANC against claims related to your work
## 7. TERMINATION
### Either Party May Terminate
- 30 days written notice required (by written letter or email)
- Immediate termination for breach of agreement
- Complete all active projects before termination
- Final payment processed after completion
### Effect of Termination
- Access to platform removed
- Outstanding payments processed
- No further obligations except active projects
- Confidentiality obligations continue
## 8. CONFIDENTIALITY
### Protected Information
- Homeowner contact information
- Project details and pricing
- Platform technology and processes
- Business strategies and methods
### Your Obligations
- Keep homeowner information confidential
- Do not solicit homeowners outside platform
- Protect login credentials and account access
- Report any security concerns immediately
## 9. DISPUTE RESOLUTION
### Resolution Process
1. Direct communication between parties
2. Mediation through ANC support team
3. Binding arbitration if necessary
4. Legal action as last resort
### Governing Law
- This agreement governed by Texas law
- Disputes resolved in Dallas County, Texas
- Arbitration conducted per AAA rules
## 10. GENERAL PROVISIONS
### Entire Agreement
- This agreement supersedes all prior agreements
- Modifications must be in writing
- Electronic signatures are valid
### Assignment
- You may not assign this agreement
- ANC may assign to affiliates or successors
### Severability
- Invalid provisions do not affect remainder
- Agreement continues with invalid provisions removed
